Malherbe Group Takes Strategic Stake in TLW Group, the Third Largest Luxembourgish Transporter

Malherbe Group Takes Strategic Stake in TLW Group, the Third Largest Luxembourgish Transporter

07/05/2024

Surpassing the €460 million mark in annual revenue through this strategic participation, Malherbe establishes itself as a significant and ambitious player in Europe.

Caen/Luxembourg, March 22, 2024 – Malherbe Group, one of the leading road freight transport (and logistics) operators in France, proudly announced its entry into the capital of TLW Group, founded in 2005 and the third-largest carrier in the Grand Duchy of Luxembourg. This bold move propels Malherbe into new professions and new horizons, reinforcing its footprint on the European road freight transport chessboard.

Chaired by Alain SAMSON and managed by his brother Noel, the Malherbe Group is praised and recognized for its financial stability, ambitious environmental commitments, and high-quality transport services.

Before this investment, the company had a turnover of €405 million and managed a significant fleet of 2,200 engines for 2,900 employees.

With its status as a major player in the BENELUX, TLW Group, on the other hand, stands out with an international turnover of more than €60 million, about ten companies spread across several countries with its headquarters in Luxembourg, 450 employees, specialized operations (RFS, Big Volume Express, etc.), and a fleet of more than 350 vehicles.

This merger goes far beyond simple numerical calculations: it is a fusion of visions and excellence.

As Noel SAMSON simply says, "This operation marks a fundamental step for the Malherbe group... because having the ambition to develop internationally is one thing, having the means (and the People) is another; with the integration of TLW and its founder, the Malherbe Group is further strengthened by relying on a dynamic, rigorous, and committed European leader, acquiring new complementary know-how and truly endowing itself with new European transport capacities in its own fleet (with Drivers under French or Luxembourg contracts)."

In fact, Jeremy Windsinger, CEO of TLW Group, is confirmed in his role and will continue to lead the group while also taking on the role of Chief of International Development at Malherbe.

He expressed his enthusiasm for this strategic union with the Malherbe Group.

"From our first discussions, it became clear that we shared similar fundamental values - innovation, excellence in service, and a deep commitment to customer satisfaction," said Mr. Windsinger.

"This synergy of values and vision made this approach not only logical but also inevitable given the rapid expansion of our Luxembourg group.

I am extremely excited about contributing to the international expansion of Malherbe while preserving the unique spirit that has made TLW successful."

Mr. Windsinger also emphasized the importance of corporate culture in this merger. "Companies are not just numbers and contracts; they are driven by people and cultures. Finding a partner who respects and values our unique culture was paramount. With the Malherbe team, we have found a resonance not only strategically but also on a human level."

This decision highlights Malherbe's commitment to merging TLW's European expertise with its own scope.

This merger is not just a masterstroke in the road transport sector; it redefines the competitive landscape. It brings Malherbe closer to the €500 million turnover mark, conferring it the status of a leading European player in Owned Fleet and a complementary presence in Luxembourg, Belgium, Romania, and Spain.

With this geographic expansion and increased capacity, Malherbe now asserts itself as a significant force in the European market.

LTLD SA, a specialized road transport company operating in Luxembourg since 1999, focuses on high-volume low-weight transport, with a fleet of 40 Jumbo trucks and a significant number of regular subcontractors.

With this strategic acquisition, TLW Group solidifies its position in Luxembourg and as a key player in Western Europe while bolstering its portfolio of differentiated businesses. TLW Group extends a warm welcome to the entire LTLD team and management, ensuring a seamless transition and maintaining the highest standards of service continuity.

The collaboration between these two industry leaders will further elevate the customer experience and drive business growth.

During this significant transaction, TLW Group was led by Jeremy Windsinger and Andre Pesch, and received precious financial advisory support from KPMG Luxembourg, led by Jonathan de Hemmer Hamborg and David Santos. The financial due diligence was conducted by Olivier Lacour and Alberto Chocano and legal counsel was provided by Christophe Balthazard and Alix van der Wielen from Van Campen Liem.

EY Netherlands, under the guidance of Ernst-Jan Ottenhoff, offered sell-side financial advisory services, while legal advisory support was provided by Mathias Bülow from Flick Gocke Schaumburg on behalf of Deutsche Bahn and DB Schenker.

01/12/2020

With the acquisition of the Tradova group, TLW Group becomes one of the leaders in heavy goods road transport in the Grand Duchy of Luxembourg.

TLW Group, a key Luxembourg player in the transport of general merchandise, general cargo, RFS, groupage, bulk, express and logistics, is accelerating its growth strategy by announcing the takeover of the Tradova group, based in Luxembourg and Belgium.

Expanding in the Benelux

In the heavy goods road transport sector in Luxembourg, where the vast majority of companies have less than 20 employees, the group now has a total of over 300 employees and 530 logbooks.

Thanks to this new acquisition, TLW Group, founded in 2005, is strengthening its general cargo operations and for the first time, will have a base in Belgium.

Meeting Dominique ‘s Heeren (founder of Tradova) was definitely a great moment for me. He’s an expert in general cargo transport with over 40 years of experience, but above all he’s someone of great worth, both at a professional and personal level. His vision, professionalism and career convinced me from the day we met’ explains Jérémy Windsinger, CEO of TLW Group.

A win-win takeover for the two entities

The aim of this buyout is clear: it allows TLW Group to continue developing the general cargo market, while allowing the Tradova group to take advantage of TLW Group’s tools and processes, in order to continue providing the best service in terms of quality and responsiveness, for a very demanding customer base’ continues Mr Windsinger.

Mr Dominique ‘s Heeren, founder of the Tradova group is also joining the TLW Group team as Head of Group Development.

‘I’m delighted that I can join a group in which I’ll be able to continue offering my experience and expertise, particularly because transport has always been my passion, and because Jérémy Windsinger and I are working towards the same goal, in other words standing up for top quality professional work. I hope that together we’ll carry out some great projects.’

By boosting its presence in a market that is constantly evolving, and after this year filled with obstacles and difficulties, this acquisition allows TLW Group to face the future with confidence, and to consolidate its position as a key road transport player in the Grand Duchy of Luxembourg and the Greater Region.
